Terms of Service Agreement for EzGoBiz Interactive Marketing Package Welcome to EzGoBiz! This Terms of Service Agreement ("Agreement") outlines the terms and conditions under which you may use our Interactive Marketing Package. Please read this Agreement carefully before subscribing to our services. By subscribing to the EzGoBiz Interactive Marketing Package, you agree to be bound by the terms and conditions set forth in this Agreement. 1. Subscription and Billing 1.1 Monthly Subscription The EzGoBiz Interactive Marketing Package is a monthly subscription-based plan. Your subscription will automatically renew at the beginning of each billing cycle unless you cancel your subscription. 1.2 Cancellation There is no obligation to continue your subscription. Either party may cancel the subscription at any time. To cancel your subscription, please contact our customer support team. 1.3 No Refunds Once a new billing cycle begins, no refunds will be offered for any unused portion of the subscription. However, all work agreed upon in the original purchase will be completed as per the terms of this Agreement. 2. Services 2.1 Web Development Hours Any web development hours included in your subscription may be banked for up to 90 days from the date of purchase. After 90 days, any unused hours will expire and cannot be carried forward. 2.2 Completion of Work EzGoBiz will complete all work agreed upon in the original purchase, even if the subscription is canceled before the end of the billing cycle. 3. Use of Services 3.1 Compliance with Laws in the State of Texas You agree to use the EzGoBiz services in compliance with all applicable laws and regulations in the State of Texas. You are responsible for ensuring that your use of the services does not violate any laws or infringe upon the rights of others. 3.2 Prohibited Activities You agree not to use the EzGoBiz services for any illegal, fraudulent, or harmful purposes. This includes, but is not limited to, hacking, spamming, phishing, or distributing malicious software. 4. Intellectual Property 4.1 Ownership All intellectual property rights in the EzGoBiz services, including but not limited to trademarks, logos, and copyrights, are owned by EzGoBiz or its licensors. You agree not to reproduce, distribute, or create derivative works based on the EzGoBiz services without our express written consent. 4.2 License EzGoBiz grants you a non-exclusive, non-transferable, revocable license to use the services for the duration of your subscription. This license is subject to your compliance with the terms and conditions of this Agreement. 5. Privacy 5.1 Data Protection EzGoBiz is committed to protecting your personal information. Our Privacy Policy, which is incorporated into this Agreement by reference, explains how we collect, use, and protect your personal information. 5.2 Confidentiality You agree to keep confidential any proprietary information disclosed to you by EzGoBiz during the course of your subscription. This includes, but is not limited to, trade secrets, business plans, and customer information. 6. Limitation of Liability 6.1 Disclaimer of Warranties EzGoBiz provides the services on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. 6.2 Liability EzGoBiz shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with your use of the services. Our total liability to you for any claim or dispute arising out of or in connection with this Agreement shall not exceed the total amount paid by you for the services during the 12-month period preceding the claim or dispute. 7. Indemnification 7.1 Indemnity You agree to indemnify and hold harmless EzGoBiz, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees) arising out of or in connection with your use of the services, your violation of this Agreement, or your violation of any rights of a third party. 8. Termination 8.1 Termination by EzGoBiz EzGoBiz may terminate this Agreement and your subscription at any time, with or without cause, by providing written notice to you. Upon termination, your access to the services will be immediately revoked, and you will not be entitled to any refunds for any unused portion of the subscription should you violate any of our policies. EzGoBiz will always complete the work agreed upon for the monthly subscription payment completed but EzGoBiz will not provide a refund or be obliged to continue services upon completion. 8.2 Termination by You You may terminate this Agreement and your subscription at any time by contacting our customer support team. Upon termination, your access to the services will be immediately revoked, and you will not be entitled to any refunds for any unused portion of the subscription, however any work agreed upon within the original agreement will be completed by EzGoBiz. No other work not expressly agreed upon in writing or within the original scope of work within this agreement will be enforceable. 9. Governing Law 9.1 Jurisdiction This Agreement shall be governed by and construed in accordance with the laws of the state of Texas, without giving effect to any choice or conflict of law provision or rule. 9.2 Dispute Resolution Any dispute arising out of or in connection with this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in McKinney, Texas, and the arbitrator's decision shall be final and binding. 10. Miscellaneous 10.1 Entire Agreement This Agreement constitutes the entire agreement between you and EzGoBiz regarding the subject matter hereof and supersedes all prior or contemporaneous agreements or understandings, whether written or oral, between you and EzGoBiz. 10.2 Amendments EzGoBiz may amend this Agreement at any time by posting a revised version on our website. Your continued use of the services after the posting of any amendments constitutes your acceptance of the amended Agreement. 10.3 Severability If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced. 10.4 Waiver No waiver of any provision of this Agreement shall be deemed or shall constitute a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by the party making the waiver. 10.5 Assignment You may not assign or transfer this Agreement or any of your rights or obligations hereunder without the prior written consent of EzGoBiz. EzGoBiz may assign or transfer this Agreement or any of its rights or obligations hereunder without your consent. 10.6 Notices All notices required or permitted under this Agreement shall be in writing and shall be deemed effectively given upon personal delivery or upon deposit in the United States Postal Service, by registered or certified mail, postage prepaid, addressed to the other party at the address shown in the records of EzGoBiz, or at such other address or addresses as either party may designate by written notice to the other. 11.
